Pursuant to Article 14-2 of Securities and Exchange Act, a company that has issued stock in accordance with this Act may appoint independent directors in accordance with its articles of incorporation. The Competent Authority, however, shall as necessary in view of the company's scale, shareholder structure, type of operations, and other essential factors, require it to appoint independent directors, not less than two in number and not less than one-fifth of the total number of directors. Accordingly, Wah Hong’s Articles of Incorporation indicated that three independent directors shall be elected pursuant to the Candidate Nomination List.
Pursuant to the Article 172-1, 192-1 and 216-1 of the ROC Company Act, Wah Hong announced on MOPS on March 13, 2019 the period for accepting the nomination of independent director candidates. Any shareholder holding 1% or more of the outstanding shares of the Company may nominate candidate(s) for independent directors in writing during the nomination time period from March 18 to March 28, 2022. During the above submission period, according to the Article 192-1, Wah Hong received from Wah Hong’s Board of Director to nominate Mr. Chen-Chi Ma, Mr. Liang-Chien Li and Mr. Kuan-Neng Chen as independent director candidates. The Board of Directors reviewed and approved to appoint the three nominated independent director candidates to stand for election at Annual Shareholders' Meeting on 26 May 2022.
