Remuneration Committee

The Remuneration Committee assists the Board in discharging its responsibilities related to Wah Hong's compensation and benefits policies, and the remuneration of directors of the Board and managerial officers.

The members of the Remuneration Committee are appointed by the Board. According to Wah Hong's Remuneration Committee Charter, the Committee consists of three members, and shall consist of at least one independent director of the Board. Currently, the Remuneration Committee is comprised of all two independent directors.

I. Information on the members of the Remuneration Committee

1. Formulate and regularly review the policies, systems, standards and structure of performance evaluation and remuneration of directors and managers.
2. Regularly evaluate and determine the remuneration of directors and managers.

  • No election as government, legal person or its representative as stipulated in Article 30 and Article 27 of the Company Law.
  • No provision of business, legal, financial, accounting and other services for the Company or its affiliated companies in the past 2 years.
  • None of the Remuneration Committee members, their spouses, and relatives within the second degree of kinship (or in the name of others) hold shares in the Company.

Note: Mr. Yi-Ming, Chen graduated from the Business Administration Department of National Chengchi University and is a member of the Remuneration Committee. He is currently a practicing accountant of Yi-Ming, Chen Certified Public Accountants, and has at least five years working experience in business, accounting and corporate business, specializing in the field of accounting.

II. The operation of the Remuneration Committee

A. The Company's Remuneration Committee has three committee members in total.
